Transaction Procedure
1. Letter of Intent (LOI): Buyer submits a formal LOI.
2. FCO Issuance: Seller issues a Full Corporate Offer
(FCO).
3. FCO Acceptance: Buyer reviews, signs, and returns
the FCO within its validity period.
4. SPA Execution: Upon FCO acceptance, both parties
sign the Sale and Purchase Agreement (SPA).
5. Documentation & Logistics: Seller prepares all
necessary export documentation and arranges CIF
delivery to the Buyers Free Zone.
6. Trial Shipment: An initial 25?100 kg trial shipment will
be sent as proof of performance. Buyer must provide a
Bank Comfort Letter (BCL) prior to shipment.
7. Final Assay & Payment: Assay to be conducted at
Buyers chosen refinery. Payment to be made via
Swift within 48x72 hours of assay confirmation.
8. Monthly Deliveries: Upon successful completion of
the trial, monthly deliveries will proceed as per contract
terms. These will be covered by a Bank Guarantee (BG)
from the Buyer.

Delivery Terms
Incoterms: CIF Buyers Airport Free Zone (as stated in
LOI), under Incoterms 2020.
Sellers Responsibilities:
Covers CIF delivery to Buyers destination Free Zone.
Provides all export-related documentation.
Buyers Responsibilities:
Manages customs clearance, import duties, and internal
transport to the refinery.
Arranges final assay and completes payment to the
Seller after the trial.

Note: A Bank Guarantee covering the full contract term
must be provided by the Buyer upon successful
completion of the trial.
