Bank Instrument: ‘Admin Hold’ payment guarantee
letter of (XXX)kgs, (Verbiage sample attached:
Appendix 1).
To the SELLER’s nominated bank account with the
validity of one (1) year + one (1) day from the date of
issue, and with a value as mutually agreed between the
Parties based on the first transaction quantity, the
purchase price date
and the Commission.
Procedures
Important Notice: This SPA is time sensitive. If the
Seller does not execute and forward this SPA to the
Buyer within Five (5) Working Days of receipt, this SPA
shall be considered null and void without further notice
unless extended in writing between the Seller and the
Buyer.
A. The BUYER and SELLER shall sign and seal this SPA
in counterparts simultaneously, and exchange copies.
B. The BUYER and SELLER shall complete the
transaction based on the procedures outlined Below:
• After signing this SPA both parties will lodge the
agreement with their bank and exchange the business
card of the in-charge officer to complete the admin
hold process.
• Seller bank officer will send an email to buyer bank
officer and requesting to place the fund on
administrative hold in favour of his client mentioning the
agreement reference number.
• Buyer bank officer will contact the buyer to get his
approval for placing the fund in administrative hold in
favour of the seller and then will place the fund in the
admin hold and share the copy to Seller bank officer
email.
• Seller bank officer will inform the Seller of the receipt
of the admin hold letter to proceed with the
transaction of (XXX)kgs per month.
A. The SELLER shall start the procedure to deliver the
shipment to the BUYER’s destination within two (2)
weeks maximum after receiving the Admin Hold on his
bank account.
B. Buyer and Seller/ representative shall then
accompany the shipment cargo to BUYER’s designated
Refinery for FAR (Final Assay Report).
C. After review and mutual acceptance of the Final
Assay Report Certificate, the SELLER shall issue the Final
Commercial Invoice to the BUYER. The Gold shall
remain in the Refinery’s custody until the Ownership
Certificate is transferred to BUYER’s name.
D. Within three (3) banking days, the BUYER shall
transfer the agreed amount of the shipment minus the
agreed discount and Commission to the SELLER's
nominated bank account and, upon receipt, the
SELLER shall transfer the Ownership Certificate to the
BUYER’s name.
E. All subsequent tranches will be based on the same
procedure, until the agreed Quantity referred to in this
SPA has been completed.
F. The Admin Hold shall be issued for one time only
based on the quantity of the shipment, (XXX)kgs.
G. The Admin Hold undertaking will remain with the
SELLER’s bank for a period of One (1) year and one (1)
day.
H. The BUYER shall cancel the ADMIN HOLD undertaking
fifteen (15) days prior to the maturity
date, and this
ONLY after last delivery transaction of the contract
proceeded.
